There was no increase in the volume of M&A in 2018 amid the moderate growth of the Russian economy (according to the Federal State Statistics Service of the Russian Federation, Russia’s GDP grew by 2.2% in 2018) and the existing sanctions imposed upon many Russian individuals and companies. Given the above-mentioned circumstances, the market participants are shifting their focus from searching for new opportunities for business expansion to cost reduction and risk allocation. This fact accounts for a moderate growth in the number of transactions involving the establishment of joint enterprises and the acquisition of minority interests as compared with the traditional Russian model of acquiring majority interests or 100% stakes.
With that in mind, the quality of corporate governance and mechanisms protecting minority shareholders’ rights are becoming more and more important.
However, Russian law is increasingly often applied in M&A, while the Russian jurisdiction is used for the establishment of corporate structures. As a consequence, the Russian legal system is being improved and therefore becoming progressively more suitable for such transactions.
